Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) are entered into by and between you (“User”, “you”, or “your”) and eStack, Inc. (“Company”, “we”, “us”, or “our”), a Delaware corporation registered as a foreign corporation in the State of Washington. These Terms govern your access to and use of www.estack.com and the eStack software-as-a-service platform (collectively, the “Service”).

By accessing or using the Service, creating an account, or clicking “Accept,” you agree to be bound by these Terms, our Privacy Policy, and our Software License Agreement. If you do not agree, do not use the Service.

2. Changes to Terms

We may revise these Terms at any time. We will provide at least 14 days’ notice of material changes by email or in-app notification. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you disagree with a material change, you may terminate your subscription before the change takes effect and receive a pro-rated refund for prepaid fees covering the remaining period.

3. The Service — SaaS Subscription

eStack provides a hosted, multi-channel e-commerce management platform delivered as software-as-a-service. The Service includes inventory management, order management, demand planning, purchase order automation, shipping label generation, sales reporting, and related features as described on our Pricing page.

Subscription Plans

The Service is offered under the following subscription tiers: Essentials, Professional, and Enterprise. Features, limits, and pricing for each tier are described on our Pricing page and may be updated from time to time with notice.

Free Trial

We offer a 30-day free trial of the Professional plan. No credit card is required to start a trial. At the end of the trial period, access will revert to a limited state until you select a paid plan. We reserve the right to modify or discontinue free trial offers at any time.

Billing and Renewal

Subscriptions are billed in advance on a monthly or annual basis depending on your selected plan. Annual subscriptions are billed once per year. Subscriptions automatically renew at the end of each billing period unless cancelled. You may cancel at any time through your account settings.

Refunds

Monthly subscriptions cancelled before the next billing date will not be charged for the following month. No partial refunds are issued for monthly plans. Annual subscriptions cancelled within 30 days of the annual renewal date are eligible for a pro-rated refund for unused months, excluding any one-time setup fees. After 30 days, annual subscriptions are non-refundable.

4. Account Registration and Security

You must provide accurate, current, and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at support@estack.com of any unauthorized use.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation;
• Infringe the intellectual property rights of any third party;
• Transmit harmful, fraudulent, or misleading content;
• Reverse engineer, copy, or create derivative works of the Service;
• Use the Service to build a competing product or service;
• Circumvent usage limits or access controls;
• Exploit or harm minors in any way.

6. Intellectual Property

All content, features, and functionality of the Service — including software, text, graphics, logos, and designs — are owned by eStack, Inc. and protected by applicable intellectual property laws. eStack® is a registered trademark of eStack, Inc. You may not use our name, logos, or trademarks without prior written permission.

You retain all rights to data you upload to the Service (“Customer Data”). You grant us a limited license to process Customer Data solely to provide and improve the Service.

7. Privacy and Data

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms. By using the Service you consent to the collection and use of information as described therein.

8. Third-Party Integrations

The Service integrates with third-party platforms including Amazon, Walmart, Shopify, and eBay, and shipping carriers including UPS, FedEx, USPS, DHL, Deutsche Post, DPD, and Royal Mail. Your use of those platforms is governed by their respective terms of service. We are not responsible for the availability, accuracy, or conduct of any third-party service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ESTACK, INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE FEES PAID BY YOU TO ESTACK IN THE TWELVE MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow limitations on implied warranties or liability for certain types of damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless eStack, Inc. and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

12. Term and Termination

These Terms remain in effect while you use the Service. We may suspend or terminate your access immediately for material breach of these Terms, non-payment, or illegal activity. You may terminate your subscription at any time through your account settings. Upon termination, your right to access the Service ceases immediately. Customer Data will be available for export for 30 days following termination and then permanently deleted.

14. Governing Law and Jurisdiction

These Terms are governed by and construed under the laws of the State of Washington, U.S.A., without regard to conflict of law principles. Any disputes shall be brought exclusively in the state or federal courts located in Seattle, Washington, except as modified by Section 13 for users in jurisdictions where local mandatory law requires otherwise.

15. Arbitration

Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration under the American Arbitration Association Rules, applying Washington law. Judgment on the award may be entered in any court having jurisdiction. Either party may seek injunctive relief in court to protect intellectual property or confidential information. This arbitration clause does not apply to users in the EU, UK, or Switzerland, where local mandatory dispute resolution rights may apply.

16. Waiver and Severability

No waiver of any term shall be deemed a continuing waiver. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and Software License Agreement, constitute the entire agreement between you and eStack, Inc. regarding the Service and supersede all prior agreements.
